Proposed Bylaw Changes

Please review the below proposed bylaw changes. These proposed changes will be discussed and voted upon in the annual business meeting on the morning of Saturday, January 11, 2025. Our current bylaws, as amended in 2022, can viewed here. All proposed changes are in italics.

Proposed Bylaw Amendment 1

     WHEREAS, the By-Laws of the West Virginia Association of Fairs and Festivals are not specific and clear as to the definition of a “Fair” or “Festival”; and
     WHEREAS, in order to protect the integrity of the Association and its members, the
definition of a “Fair” or “Festival need to be established; and
     WHEREAS, the members of the West Virginia Association of Fairs and Festivals desire to amend Section 1, of Article II of the Bylaws to further clarify the definition of a “Fair” and “Festival” to further clarify the requirements to be eligible for membership in the West Virginia Association of Fairs and Festivals; and
     THEREFORE, BE IT RESOLVED that the following amendments be made to the By-
Laws of the West Virginia Association of Fairs and Festivals, and the By-Laws relating to
Article II, Section 1 shall now read as follows:

ARTICLE II

Section 1. Eligibility: To be eligible for Membership, any Fair or Festival Association
and/or Corporation in West Virginia shall comply with the following:
a. It shall be governed by a Board of Directors, legally formed Corporation, a Governmental Entity, and/or Quasi-Governmental Entity.
b. The Association, Corporation, and/or governing Governmental/Quasi-Governmental
Entity must be registered with the West Virginia Secretary of State Office and the West
Virginia Tax Department.
c. Payment of the annual dues by January 15th of each calendar year.
d. For the purpose of these bylaws, and other rules and/or regulations of the West Virginia Association of Fairs and Festivals, the definition of a “Fair” is an exhibition of two days or more, that is held annually, and is conducted or sponsored by any organization, association, corporation, City, and/or County within the State of West Virginia. Fairs shall be designed to promote and encourage agriculture, education, commerce, industry, and entertainment. The host organization must be in good standing with the West Virginia Secretary of State and conduced at least two events.
e. For the purpose of these bylaws, and other rules and/or regulations of the West Virginia Association of Fairs and Festivals, the definition of a “Festival” is an event of at least one day that is held annually, and is hosted by any organization, association,
corporation, City, and/or County within the State of West Virginia, to promote and
conduct agricultural, natural resources, cultural, historical, heritage-oriented, or
educational activities. The host organization must be in good standing with the West
Virginia Secretary of State and conduced at least two events.

Proposed BYLAWS Amendment 2

     WHEREAS, the By-Laws of the West Virginia Association of Fairs and Festivals are not specific and clear as the number of members that a voting delegate may represent at the annual business meeting;
     WHEREAS, in an attempt to ensure a fair election and voting during the said annual
business meeting;
     THEREFORE, BE IT RESOLVED that the following amendments be made to the By-
Laws of the West Virginia Association of Fairs and Festivals, and the By-Laws relating to
Article II, Section 4 shall now read as follows:

ARTICLE II

Section 2. Voting. Each paid member shall be entitled to one (1) voting delegate at each business session and must submit the names of each delegate, along with the names of up to three alternates on the registration form prescribed by the Board of Directors, prior to the first business session of the annual meeting. An alternate may vote only when the designated delegate is not present. Any voting delegate and/or alternate voting delegate may only represent one member during the annual business meeting.
